ROLE PURPOSE

As a Corporate Lawyer Specialist, you will be handling complex situations and transactions with limited supervision, which will require you to have a structured approach to work, as well as being flexible.

PRIMARY RESPONSIBILITIES

You will support legal department in the following areas:

• Day to day legal and commercial consultations and the operation of a commercial group.

• To draft, review, negotiate and close all types of commercial agreements (NDAs, MOUs, loan agreements, etc.), working in conjunction with the relevant business managers.

• To identify and assess legal risk for non-standard contracts and advise the business accordingly.

• To assist in developing and drafting standard contract precedents.

• Draft various types of board and shareholder resolutions.

• Preparation and execution of corporate operations such as capital increases (both monetary and non-monetary), contribution of credits, and other corporate restructurings.

• Assist in audit processes, providing the required legal and corporate documentation.

• File management and documentation.

• Participate in M&A transactions regarding new branches or newcos, as well as formalize the investment rounds of the corporate group.

• Provide legal services and support not only to the companies within the group but also to other related entities.

General breadth of knowledge and demonstrated practical experience within corporate and commercial law, corporate compliance and company secretariat.

Excellent English communication skills, both verbal and written – 70% of the tasks are done in English

PREFERRED QUALIFICATIONS & EXPERIENCE

Master's degree in law.

Experience Target:

Legal experience at a law firm or in-house, with a focus on corporate law and commercial law.
