Our client is a leading multinational company in the management of critical infrastructure and energy product logistics, with a presence in more than 10 countries. They operate with the highest standards of innovation and sustainability, managing strategic assets that facilitate energy transition. Currently in the midst of a strategic expansion process, especially in the United States, and are seeking a high-level Legal profile for their Global Legal Department.
Objective of the position: You will be the lead lawyer for the execution of the inorganic growth strategic plan, with a priority focus on the U.S. Market.
Mission: To lead international transactions, guaranteeing the legal security of investments and optimizing internal legal management.
RESPONSABILITIES
M&A Transactional Execution: Integral leadership of asset and company purchase and sale operations (M&A). From the design of the legal structure, drafting, and negotiation of NDAs, LoIs, and SPAs, to the closing and post-acquisition integration.
U.S. Law Advisory: Act as an internal expert in U.S. Regulations for the infrastructure market. You will resolve day-to-day operational and legal inquiries for our U.S. Subsidiaries (especially in Houston/Texas), reducing reliance on external law firms.
Due Diligence Management: Coordinate multi-jurisdictional legal audit processes, identifying contingencies and ensuring that detected risks are contractually mitigated.
External Advisor Control: Selection and supervision of major international law firms. You will have the technical criteria to "challenge" their legal approaches and optimize the Group's legal spending.
Corporate & Governance: Management of the corporate governance of international subsidiaries and negotiation of shareholders' agreements (Shareholders’ Agreements) in Joint Ventures and infrastructure consortia.
Support in Concessions and Projects: Legal support in international tenders and complex contracts (EPC, O&M) linked to the management of terminals and airport services under Anglo-Saxon law.
Regulatory Compliance: Ensure compliance with foreign investment and national security regulations in international transactions.
REQUIREMENTS
Education: Law Degree. It is essential to have an LL.M. In the United States and, highly preferably, to be admitted to the Bar or have passed the Bar Exam (NY, Texas, or similar).
Experience: Between 8 and 12 years of professional trajectory. We are looking for a hybrid profile who has worked 3-5 years in a top-tier law firm within the M&A/Corporate area, with subsequent experience as in-house legal counsel in multinationals within the energy or infrastructure sector.
International Knowledge: Real experience living and working in the American or Anglo-Saxon market. Must master the U.S. Legal system.
Languages: English level C2 (Legal English) with real technical negotiation capacity.
Skills: Technical excellence, pragmatic business vision, and a high capacity for dialogue with Senior Management.
