Graduate In-Corporate Law en Barcelona

The Corporate Legal role is a 12 months (prolongable up to 24 months) graduate position within the CoE (corporate compliance hub located in Barcelona) of the Corporate, Securities and M&A section of HP's Legal department as part of the Corporate Securities International (CSI) group.

The CSI group manages and supervises corporate restructuring projects of HP across the globe in coordination with HP's Tax and local legal departments. CSI supports a range of projects from relatively simple corporate law matters to highly complex and critical operations. CSI also manages and supervises integration projects in coordination with country teams and provides assistance on compliance and governance matters.

Responsibilities:

Assist the CoE team (made of corporate counsels) in managing corporate matters and annual corporate compliance of world-wide holding and operating entities, including coordination with outside counsel and various stakeholders within HP (controllership, tax, local counsel, etc.).

In particular, the key tasks of the CoE team include, among others:

• Advise various HP stakeholders (finance, tax and treasury departments, management of subsidiaries) on corporate law and corporate compliance matters.
• Handle day-to-day and annual corporate compliance of world-wide holding and operating entities.
• Draft various types board and shareholder resolutions.
• Manage approval of accounts deadlines and processes.
• Manage company secretariat for those companies.
• Monitor filings.
• Communicate effectively with internal departments and liaise with outside counsels.

Education and Experience Required:

• Advanced university degree in law from a recognized European university, with significant exposure to corporate law.

Knowledge and Skills:

• Advanced breadth and depth of academic knowledge within corporate law.
• Ability to work under pressure to tight deadlines.
• Proactive and effective communicator of valuable information to clients and colleagues.
• Attention to details.
• Excellent people and communication skills.
• Project management skills.
• English proficiency, second and third European languages are a plus.
